He has served Scanfil Group since 1994, for example as Director of operations in China, Scanfil (Hangzhou) Co., ltd’s Managing Director, Technology Director, Director of Customer Relations, Customer Service Manager and Plant Manager of Sievi mechanics.

Not independent of the company and major shareholders. As Chairman of the Board and based on the overall independence assessment, Harri Takanen is not independent of the company and owns more than 10% of all the company’s shares.

从车库到工厂——Scanfil的早年岁月(1976-1989)

卑微的开端

其他地方都不错,但谢维(Sievi)最好

Jorma、他的妻子Riitta以及他们的亲戚都对创业有着浓厚的兴趣。Jorma设想成立一家专注于生产通风过滤器的公司,因为当时芬兰市场上销售的过滤器几乎全是价格昂贵的进口产品,市场前景广阔。该公司还计划生产汽车专用过滤器和特种过滤器。

Scanfil的首批股东是Jorma、他的哥哥们、他的姐夫以及Riitta的父亲,他们均以相等的份额投资了公司资本。公司总部位于谢维,这个商业环境友好但人口正在减少的市政当局主动提出为公司建造一座符合规格的新工业厂房,并帮助承担其他运营成本。

从过滤器到金属板材加工

由石油危机引发的经济衰退给过滤器业务蒙上了一层阴影。由于整个芬兰的家庭供暖、照明和汽车使用都受到了管制,过滤器的销售情况并不理想。幸运的是,公司曾投资购买机器来加工过滤器所需的金属板材,这成为了Scanfil新业务的基础:机械加工。

Scanfil进军机械加工领域,以及谢维远离赫尔辛基所带来的问题,让Jorma意识到,为了取得成功,Scanfil必须尽可能地在公司内部组装、制造和加工客户零件,因为像竞争对手那样将半成品的金属零件从谢维一路运到赫尔辛基进行加工是没有意义的。通过自己完成更多工作,利润率将会提高,客户服务也会得到改善。只要现金流允许,公司就会投资购买新的(或二手的)机器,包括日本的Amada Pega钣金机。而“节俭的尤西”(Nuuka-Jussi)的绰号则确保Jorma能买到物美价廉的机器。

通过在芬兰的收购来拓展业务和客户群体

1982年,Scanfil在芬兰进行了首次收购,收购了陷入财务困境的电子产品制造商Elektrovieska Oy。Jorma发现,向电子产品领域扩张完全符合Scanfil尽可能在内部生产客户产品的战略。然而,这是一次大胆的举动,因为Jorma并不具备电子产品方面的专业知识。

20世纪80年代,Scanfil还收购了冰箱设备制造商Dinsi和电子工程公司Elacon。随着收购Eletrovieska,Scanfil的客户群也随着Kone而扩大。大约在同一时期,Scanfil还与Vaisala和Nokia建立了长期合作关系。与Nokia的合作始于他们的MikroMikko电脑。与Nokia的合作开启了Scanfil业务的新篇章,为业务带来了快速增长和国际扩张。

与Nokia共成长——Scanfil的1990-1999年

向芬兰Oulu的扩张

在20世纪90年代,Scanfil随着其最大的客户Nokia一同发展壮大。

1991年6月初,Scanfil在Nokia园区附近的Oulu市开设了工厂。凭借新工厂的投入,Scanfil实现了在Sievi之外的扩张。该工厂是一个重大的项目,也是一笔巨大的投资。即便多年以后,创始人Jorma Takanen仍喜欢说:“与Oulu这个项目相比,所有的挑战都显得微不足道。”

但扩张的危机也随之而来,Oulu工厂的订单量在施工过程中突然减少。当时,由于苏联在没有过渡期的情况下终止了与芬兰的双边贸易,Nokia网络公司的DX200数字电话交换机部件的需求一夜之间骤减。与此同时,芬兰也遭遇了严重的经济衰退,失业率达到了创纪录的水平。

应对经济衰退并抓住机遇

尽管面临重重困难,Scanfil在经济衰退时期仍实现了盈利。Jorma Takanen总结道:“1991年的增长速度有所放缓,但即便如此,我们也没有倒退。”

Scanfil得以生存的关键因素在于,在丰田的管理理念还没普及之前,Scanfil就已经实现了精益管理。比如消除非增值活动,让员工参与进来,通过顶级的机械设备和技术节省成本。这些因素加上Nokia的迅猛崛起,帮助Scanfil度过了经济衰退期。

Scanfil长期以来一直为Nokia供应NMT基站机柜,但随着GSM技术的推动,订单量急剧增加。此外,电子行业迅速成为芬兰最大的工业部门,促进了出口增长。那个曾令人们忧心忡忡的Oulu工厂突然成为了增长的推动者。Sievi工厂的设施已经扩大了六倍,但变得过于狭小,于是Scanfil在1994年11月迁入了新的更大规模的场地。

狂妄的机电一体化

Scanfil的增长不仅得益于Nokia,还得益于对机电一体化产品(将机械和电子相结合的产品)不断增长的需求,以及行业运营的新方式。Scanfil也越来越将那些不属于其核心业务、需要更深入合作(即代工生产)的流程外包出去。在经济衰退期间公司仍保持良好的财务状况,并且Nokia也推动了公司的发展。在此背景下,Scanfil抓住了新的市场需求,开始从客户那里收购机械业务,包括竞争对手 Paimion Kojeistoteollisuus Oy(由ABB Oy所有)、Wallac Oy的机械车间、Kemppi Oy的焊接设备以及Nokia在Äänekoski的工厂。Scanfil还在Helsinki都市区新建了一家工厂。

1995年至1998年期间,Scanfil的营业额增长了3.5倍,达到5亿马克(约1.46亿欧元)。与此同时,员工人数几乎翻了一番,达到近730人。Jorma和 Riitta Takanen的儿子Jarkko和Harri也永久性地加入了家族企业。

尽管Nokia的强劲增长为公司带来了巨大助力,但Scanfil的管理层越来越担心单一主要客户的主导地位是威胁还是机遇。但要降低Nokia在Scanfil收入中的份额几乎是不可能的,因为该公司及其订单量仍在持续增长。然而,在不远的将来,当电信网络投资减少、Nokia的下滑趋势开始显现时,Scanfil不得不寻找新的收入来源。

全球化的惊涛骇浪——斯凯菲尔2000-2008

新千年来临之际,Scanfil起步强劲,公司营收跨越了十亿芬兰马克的里程碑。当然,这背后离不开Nokia的推动。

然而,早在2000年初,随着美国科技股转头向下,全球互联网狂潮已现预警信号。同年稍晚,Nokia的股价也开始下跌。IT泡沫的破裂严重冲击了电信业务,而这正是Scanfil业务的核心部分。所幸,Scanfil的电信业务组合中也包含GSM和固定网络设备,这为接下来的艰难岁月提供了急需的收入来源。

到2001年,合同制造行业那种“空中飞人”般的风光日子已然结束,整合大幕开启。电信巨头们将更多生产外包给合同制造商,并要求其交付越来越趋于成品状态的产品。不久之后,美国合同制造商Flextronics收购了芬兰的Ojala-Yhtymä集团,以从芬兰提供服务。与此同时,Scanfil与上市公司Wecan Electronics Oyj合并,从而将线路板制造纳入其服务体系。此次合并的结果是,Scanfil Oyj于2002年10月1日在赫尔辛基证券交易所挂牌上市。

国际扩张

芬兰高昂的生产成本促使Scanfil在国际上寻找机会。首次投资是位于匈牙利Biatorbágy的工厂,然而,这并未成功,主要原因是中国的迅速崛起。在匈牙利,雇佣3名员工的成本相当于1名芬兰员工,但在中国,这个数字超过了10名。

通过合并Wecan,Scanfil获得了其位于中国苏州的工厂,该交易还包括爱沙尼亚Pärnu的一家工厂。2003年,Scanifl在中国收购了第二个工厂——位于杭州的一家机械工厂。

这些收购对Scanfil来说还不够。2003年初,公司宣布收购Alcatel位于Hoboken的机械工厂,该厂生产用于ADSL宽带网络的设备,此举旨在扩展客户基础。

快速的国际化进程在Scanfil的员工数量上清晰可见:2001年之前,Scanfil在海外没有雇员。三年后,超过1300名员工在海外单位工作。

国际化也在其他方面改变了Scanfil。公司开始缩减其芬兰工厂网络,出售了原位于Hollola的Kemppi工厂和Paimio工厂。为公司服务超过28年后,Jorma Takanen卸任首席执行官,并加入Scanfil董事会。

前路波涛

Veli Torvinen被任命为Scanfil新任首席执行官。他短暂的CEO任期充满波澜。2003年收购的Hoboken工厂仅三年后便被关闭,原因是Alcatel开始将订单转向中国。在芬兰,Tampere、Äänekoski和Oulu的工厂也大约在同一时期关闭。

在2006年11月发布公司当年第三次盈利预警后,Veli Torvinen宣布辞职。

2007年5月,Jorma Takanen的儿子Harri Takanen开始担任Scanfil下一任首席执行官。他任期伊始的处境与Veli Torvinen同样艰难:Scanfil的收入和业绩跌至前所未有的低谷。

在电信行业之外寻找新客户,成为Scanfil和Harri Takanen生死攸关的大事。也正是在这时,与其他芬兰公司建立的长期客户关系开始真正显现其价值,业务也从专注于电信的合同制造,转向了专业电子制造服务。
